Thanks for your post - I've done a quick search and this isn't a problem I could find as being reported yet.
Are you also getting errors in your logs, as per this thread?
You mention 50% CPU usage - is this a dual-core CPU so actually it's maxing out one core? The performance tab of task manager may show this. Does it die down after a while? -
I had the same problem with the Prompt version just below 5.2 on a Win 2008 R2 SP1 environment, and Red Gate support sent me a regedit to stop the IPN service from launching, which stops the symptom at least.
